Terms of Use — Jabbr App

Welcome to jabbr.ai ("Jabbr," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our app, app.jabbr.ai ("App"), by Jabbr Technologies ApS. The application is the user facing Jabbr platform where users can access their Jabbr accounts and view their content.

  1. Acceptance

    By accessing, signing up for, or using the App, you agree to be bound by these Terms. If you disagree with any part of the Terms, please do not access or use the App.

  2. Definitions

    1. "User" refers to any person who downloads, installs, or uses the App.
    2. "User Content" refers to any text, images, video, audio, or other media uploaded to the App. The User Content is owned by the User.
    3. "Jabbr Content" refers to the App's original content and its AI-generated content, including any content generated by Jabbr using the User Content.
    4. "DeepStrike" refers to Jabbr's proprietary AI specifically developed for combat sports.

  3. Intellectual Property

    The App and its original content, features, and functionality, and the Jabbr Content are owned by Jabbr Technologies ApS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  4. User Accounts and Responsibilities

    1. You must provide accurate information when creating an account
    2. You are responsible for maintaining the security of your account credentials

  5. Permitted Use

    Jabbr allows you to:

    1. Upload fight and sparring videos (including static cam footage and TV production footage)
    2. Use DeepStrike to generate fight statistics and video content (including production and highlight videos)
    3. Combine statistics from multiple fights for aggregate analysis and visualizations
    4. Create highlight videos in different aspect ratios, durations, and for individual fighters
    5. Use stats and highlights for performance analysis, commentary, and strategic preparation

  6. Prohibited Use

    You agree not to use the App to:

    1. Modify Jabbr-generated statistics and misrepresent them as authentic;
    2. Use Jabbr's data to train their own AI systems for fight statistics collection;
    3. Violate intellectual property rights by uploading videos without proper authorization;
    4. For any unlawful purpose;
    5. To solicit others to perform or participate in any unlawful acts;
    6. To violate any international, national, or local regulations, rules, laws, or ordinances;
    7. To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
    8. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
    9. To submit false or misleading information;
    10. To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the App;
    11. To spam, phish, pharm, pretext, spider, crawl, or scrape;
    12. For any obscene or immoral purpose; or
    13. To interfere with or circumvent the security features of the App or any related website, other websites, or the Internet.

    We reserve the right to suspend or terminate your use of the App or any related website for violating any of the prohibited uses. Termination may result in the loss of access to previously generated stats and videos.

  7. Content Ownership and Usage Rights

    1. Users retain ownership of their uploaded User Content
    2. By uploading videos, users grant Jabbr the right to use them for AI training and system improvement
    3. If a user deletes their account, Jabbr will no longer use their content for any purpose beyond what was already used for training
    4. While Jabbr owns the Jabbr Content, users are granted a non-exclusive right to use and distribute their AI-generated stats and highlights for personal or commercial purposes, subject to the branding requirements outlined in Section 8 ('Commercial Use and Branding Requirements').

  8. Commercial Use and Branding Requirements

    1. If Jabbr's stats or highlight videos are used in a commercial setting, users must include the Jabbr logo and DeepStrike version number in a clearly visible manner, such as in a footer or watermark.
    2. Commercial use may require additional approval or licensing from Jabbr.

  9. Limitation of Liability

    In no event shall Jabbr Technologies ApS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

    1. Your access to or use of or inability to access or use the App;
    2. Any conduct or content of any third party on the App;
    3. Any content obtained from the App; and
    4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

  10. Disclaimer

    The App is provided on an "AS IS" and "AS AVAILABLE" basis. The App is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

    Jabbr Technologies ApS, its subsidiaries, affiliates, and licensors do not warrant that:

    1. The App will function uninterrupted, secure, or available at any particular time or location;
    2. Any errors or defects will be corrected;
    3. The App is free of viruses or other harmful components; or
    4. The results of using the App will meet your requirements.

  11. AI Accuracy Disclaimer and Liability Waiver

    The DeepStrike AI is a general-purpose system designed for both fights and sparring across various video qualities.

    1. Jabbr does not guarantee the accuracy of the AI-generated stats or highlights;
    2. Users are solely responsible for how the use Jabbr's stats and insights;
    3. Jabbr is not liable for any damages or consequences arising from reliance on its AI outputs, including but not limited to coaching, betting, or commercial use;

  12. Governing Law

    These Terms shall be governed and construed in accordance with the laws of Denmark without regard to its conflict of law provisions. Any disputes shall be resolved in accordance with Danish law, and arbitration may be required before pursuing legal action. The preferred arbitration venue shall be Copenhagen, Denmark, and arbitration shall be conducted in English under the rules of a recognized arbitration institution.

    Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our App and supersede and replace any prior agreements we might have had between us regarding the App.

  13. Modifications

    We reserve the right to modify these Terms at any time, and we will notify you of any changes by posting the updated Terms on our App. Your continued use of the App after such modifications constitutes your acceptance of the modified Terms.
